Business Organizations

We provide organizational advice and guidance to entrepreneurs and mature businesses in the formation and operation of limited liability companies, limited partnerships, corporations and partnerships. These services include the preparation of operating agreements, shareholders’ agreements, partnership agreements, bylaws, and other documents required or desired to establish a new, or reorganize an existing old business. We are familiar with alternative tax treatment of these entities and counsel clients on the advantages of various tax elections, including taxation as a C-corporation, S-corporation, or partnership.

As businesses grow, we counsel them on such matters as purchase and sale agreements, joint ventures, employment problems, state sales and use tax issues, distributor and franchise relations, federal corporate income tax issues, liquor and food licensing, corporate governance guidelines and the protection of intellectual property. We work closely with the other practice groups in the firm to assist our clients in the formation and operation of their business.
